1. Definitions
1.1"Referred Business" means a salon, spa, beauty clinic or similar beauty and wellness business that you introduce to DINGG under these Terms.
1.2"Referral" means the submission of a Referred Business's details to DINGG through an Approved Channel.
1.3"Approved Channels" means (a) the Refer & Earn form on dingg.app (including personal links that DINGG sends you by email, WhatsApp or SMS); (b) Refer & Earn inside DINGG's web and mobile applications, once available; and (c) giving the details directly to a DINGG employee, who records them in DINGG's systems with you named as the referrer.
1.4"First Invoice" means the Referred Business's first subscription invoice or package for DINGG software, whether paid in full or in parts.
1.5"Realised" means received in DINGG's bank account and not refunded, reversed or charged back. Amounts are counted excluding GST and other taxes.
1.6"Reward" means the Commission or, for eligible owners, the Free Month, as described in section 5.
1.7"Client User" means a person with an active login to a paid DINGG client account, such as an owner, manager, front-desk or staff member.
1.8"Referral Partner" means a person or business registered for the Program who is not a Client User, for example a consultant, product company, distributor, academy, trainer, interior or setup firm, or accountant.
1.9"Reseller Partner" and "Channel Partner" mean partners who have signed a separate written partner agreement with DINGG.
2. Who can take part
2.1The Program is open to (a) Client Users of active, paid DINGG accounts in good standing, and (b) Referral Partners who register through an Approved Channel.
2.2You must be at least 18 years old and able to enter into a binding contract under Indian law. If you take part for a business, you confirm you are authorised to act for it.
2.3The following cannot take part: DINGG employees in sales, pre-sales, onboarding or partner roles, and their immediate family members; and anyone whose participation DINGG has ended under section 9.
2.4Reseller Partners and Channel Partners are rewarded under their written partner agreement. These Terms apply to them only for matters that agreement does not cover; if the two conflict, the partner agreement prevails.
2.5The owner of a DINGG client account may switch off Refer & Earn for the account's staff logins. Referrals made by staff before the switch-off remain valid.
3. How to refer
3.1Submit the name and mobile number of the owner or decision-maker of the Referred Business, its business name, city and type through an Approved Channel. Please make sure the details are correct.
3.2Before referring, you must tell the Referred Business that DINGG will contact it and obtain its consent to share its contact details with DINGG. You confirm this every time you submit a Referral.
3.3You must not: (a) send unsolicited bulk messages or spam; (b) use DINGG's name, logo or trademarks in paid search, social media advertising, domain names, app names or social media handles; (c) make any promise about DINGG's prices, discounts, features or results that DINGG has not published; (d) present yourself as a DINGG employee or agent; (e) offer any part of a Reward to the Referred Business or anyone else as an inducement; or (f) submit a business that has not agreed to be contacted.
3.4There is no limit on the number of Referrals you can make.
4. Valid referrals
4.1A Referral is valid only if, when DINGG receives it, the Referred Business (a) is not, and has not been in the previous 24 months, a paying DINGG client; (b) is not owned, controlled or managed by you or by the same group as your business (a new branch of your own business is not a Referral); and (c) has not already been referred by another person through an Approved Channel.
4.2If two or more people refer the same business, the first Referral recorded in DINGG's systems counts. DINGG's records of the date and time of each Referral are final.
4.3If a business is already in contact with DINGG without a referrer, DINGG may credit your Referral where the business confirms that you introduced it to DINGG.
4.4A Referral expires if the Referred Business does not make a payment against its First Invoice within 90 days of the Referral.
4.5DINGG decides, at its sole discretion, whether to offer its services to a Referred Business and on what prices and terms. No Reward is payable for a business that does not become a paying DINGG client.
4.6DINGG will tell you by WhatsApp, SMS or email when it receives your Referral, if the Referral is not eligible, if the business decides not to go ahead, and when the business joins. Client Users can also see the status of each Referral in Refer & Earn.
5. Rewards
5.1Client Users and Referral Partners earn a commission on the amounts Realised against the Referred Business's First Invoice (the "Commission"), at the rate published on dingg.app/partner when the Referral is received (currently 10%, ten percent). A Referral keeps the rate published on the day it was received.
5.2Instead of the Commission, the owner of a DINGG client account may choose one month of their current DINGG subscription plan free of charge (the "Free Month"). The Free Month is added to the owner's own account by extending the current subscription once the First Invoice has been fully paid, has no cash value, cannot be transferred or exchanged, and cannot be combined with the Commission for the same Referral.
5.3Payment in parts. The Commission is earned on the money actually received: on every payment the Referred Business makes against its First Invoice, as and when that payment is Realised, until the First Invoice is fully paid. Example: for a ₹20,000 package, if the business pays ₹5,000 first, you earn 10% of ₹5,000 (₹500) when that ₹5,000 is Realised, then 10% of each later payment as it is received, up to 10% of ₹20,000 (₹2,000) in total. No Commission is earned on any part of the First Invoice that is not paid.
5.4No Commission is payable on later invoices, renewals, upgrades, add-on modules, hardware, messaging credits or any other purchase by the Referred Business. If the First Invoice covers several outlets, the Commission is calculated on that whole invoice.
5.5Rewards are calculated only on amounts actually Realised, excluding GST and other taxes, and after any discount, credit note or refund on the First Invoice.
5.6One Reward is payable per Referred Business.
5.7Reseller Partners (currently 15%) and Channel Partners (currently 30%, plus additional benefits) are rewarded under their written partner agreement and not under this section; clause 5.3 applies to them too unless their agreement says otherwise.
6. Payment of commission
6.1To receive Commission you must give DINGG your legal name, a valid UPI ID or Indian bank account in your own name (or your business's name), your PAN and, if registered, your GSTIN. DINGG may verify these details. Commission is held until valid details are provided and lapses if they are not provided within 3 months of becoming payable.
6.2Commission is paid by UPI or bank transfer within 30 days after the end of the month in which the relevant amount is Realised, with the transaction reference (UTR).
6.3Commission is your income. DINGG deducts tax at source as required by law, currently under section 194H of the Income-tax Act, 1961, at 2% once the total commission paid to you in a financial year exceeds ₹20,000, and at 20% if a valid PAN is not provided. DINGG issues TDS certificates (Form 16A) as the law requires. Rates and thresholds follow the law in force at the time of payment.
6.4If you are registered under GST, you must issue DINGG a valid tax invoice for the Commission, and DINGG will pay the applicable GST in addition to the Commission against that invoice. If you are not registered, you confirm you are not required to be.
6.5Commission is paid only to the Referrer recorded in DINGG's systems and cannot be assigned. Commission on a staff member's Referral is paid to the staff member, not to their employer.
6.6If an amount on which Commission was paid is later refunded, reversed or charged back, the related Commission is cancelled. If it has already been paid, DINGG may set it off against your future Rewards or ask you to repay it within 30 days.
7. Personal data and communications
7.1DINGG processes your personal data and the Referred Business's contact details to run the Program, contact the Referred Business about DINGG, pay Rewards and meet its legal obligations, in line with the Digital Personal Data Protection Act, 2023 and DINGG's Privacy Policy (dingg.app/privacy-policy).
7.2You confirm that you have the Referred Business's consent to share its details with DINGG. DINGG will contact the Referred Business only about DINGG and will stop if it asks.
7.3By taking part, you agree that DINGG may contact you about the Program by WhatsApp, SMS, email and phone. You can opt out of promotional messages at any time by replying STOP or using the unsubscribe link; DINGG will still send you messages about Rewards owed to you. Promotional SMS are sent in line with TRAI regulations, including the National Customer Preference Register, and only between 9 am and 9 pm.
7.4For any grievance about your personal data, contact DINGG's Grievance Officer, Akshay Poorey, at support@dingg.app, Office 5, Madhuban Building, Lane Number 5, Koregaon Park, Pune, Maharashtra 411001.
8. Use of DINGG's name and materials
8.1You may describe DINGG accurately and share the materials DINGG provides for the Program. You receive no other right to DINGG's trademarks, logos, content or other intellectual property.
8.2You must not create any website, advertisement, listing, social media account or message that suggests you are DINGG or act on its behalf, and you must not bid on "DINGG" or similar keywords in search advertising.
9. Fraud and misuse
9.1DINGG may refuse, withhold, cancel or recover any Reward, and suspend or end your participation, if it reasonably believes you have broken these Terms, including through self-referral, referring your own or a related business, fake or duplicate entries, Referrals made without consent, spam, misleading statements, collusion with a Referred Business, or any other attempt to misuse the Program.
9.2DINGG's decision, based on its records, is final, subject to applicable law.
10. Relationship
10.1You take part as an independent person. Nothing in these Terms creates an employment, agency, partnership or joint venture relationship, and you cannot bind DINGG or make commitments on its behalf. You are responsible for your own costs and taxes.
11. Liability and indemnity
11.1The Program is provided "as is". DINGG is not liable for Referrals that are lost, delayed or not recorded because of technical problems or incorrect details, or for any indirect, incidental or consequential loss.
11.2DINGG's total liability to you in connection with the Program is limited to the Rewards properly earned by you and not yet paid.
11.3You will indemnify DINGG against any claim, penalty or loss arising from your breach of these Terms, including any message you send or data you share without consent.
12. Changes and ending the Program
12.1DINGG may change, suspend or end the Program or these Terms by giving 30 days' notice on dingg.app/partner/terms or by email or WhatsApp. Referrals received before a change continue under the Terms in force when they were received.
12.2You may stop taking part at any time. Rewards already earned remain payable under these Terms.
13. Governing law and disputes
13.1These Terms are governed by the laws of India.
13.2Please raise any question or dispute first with DINGG at support@dingg.app. If it is not resolved within 30 days, the courts at Pune, Maharashtra, have exclusive jurisdiction.
14. General
14.1If any part of these Terms is found invalid or unenforceable, the rest remains in force. A failure or delay in enforcing a right is not a waiver of it.
14.2These Terms, the Privacy Policy and, for Reseller and Channel Partners, the partner agreement form the entire agreement about the Program. If these Terms are translated, the English version prevails.
